Sealed Tenders in two parts that is Technical Bid (T-Bid) and Price Bid (P-Bid), are invited from reputed Manpower Supply agencies for providing manpower arrangements at Corporation and its other units, for a period of TWO YEARS as and when required by the Corporation.
 
SUBMISSION OF TENDER
 
Tender shall be submitted in two separate parts sealed individually and marked as Technical Bid (‘T-BID’) and Price Bid (‘P-BID’) and should be valid for 90 days from the date of opening of technical bid of tender.
 
2.2 Procedure for submission of the tender documents shall be as under:-
 
a)  Part I ( T-BID ): Offer T-Bid (duly signed and stamped) shall be put in an envelope of appropriate size along with EMD (as per clause 2.3(a)) and then sealed, boldly marked ‘T-BID’ along with Tender No. AD/          /OT/AS clearly written on top of the envelope. T-Bid should be in the formal provided at Annexure ‘A’ along with requisite copy.
 
Note- Price Bid will be opened of those Tenderers only who provide all the aforesaid documents in their as mentioned in the T-Bid and on acceptance of the documents, by the Corporation. 
 
b) Part II (P-BID)  Similarly P-BID offer (duly signed and stamped) shall be kept in a separate envelope of appropriate size, sealed & boldly marked as “Price Bid (‘P-BID’) along with Tender No. AD/OT/          /AS as clearly written on top of the envelope. P-Bid mentioning the name of the service/work, name and address of the bidder and should contain only price bid without specifying any conditions. It shall be in the format of Annexure ‘B’. 
 
The financial quote would be complying all the requirements and obligations under Contract Labour (Regulation and Abolition) Act 1970; Employees Insurance Act-1938; Employees Provident Fund And Miscellaneous  Provisions Act, 1952, Employees State Insurance Act 1948, failing which the same shall be rejected. 
 
In case minimum wages quoted in Price Bid are less than the prevailing minimum wages as per latest notification (w.e.f. 01-10-2014) of “Chief Labour Commissioner (C), Ministry of Labour, Government of India” their Price Bid will be rejected.
 
c) Both the above sealed envelopes containing ‘T-BID’ & ‘P-BID’ of the tender shall be sealed in another large envelope which should also bear on  top:-  Tender No. AD/OT/           /AS due date of opening.
 
d) Please note that there should be no indication with regard to the rates/amounts in any of the documents to be submitted along with ‘T-BID’ offer.
 
 
e)     ALIMCO reserves the right to open the Price Bid of only those tenderers, whose Technical Bids are accepted and who have submitted the EMD as per Clause 2.3(a) of this tender. There will no exemption for submission of EMD under any circumstances.
 
 2.3. Submission of EMD-
 
(a) All the tenderers must submit Rs. 2.5% of quoted value of the full period of the tender (02 years), subject to maximum of Rs. 5.00 Lakh by Demand Draft/ Bankers Cheque/Pay Order in favour of “ALIMCO, KANPUR” (Preferably     DD of State Bank of India, payable at State Bank of India, ALIMCO BRANCH, KANPUR, Branch Code No. 03962) or Pay Order or Banker’s Cheque as an Earnest Money Deposit. No other mode is acceptable.  The EMD shall be released within 30 days of finalization of Contract to the unsuccessful Tenderers. No interest will be payable on the EMD.
 
b) Tenders without EMD/inadequate EMD are liable to be rejected irrespective of rates quoted. 
 
c) The Earnest Money will be forfeited if the Tenderer withdraws his Tender before the period of validity (that is minimum 90 days) and/or Tenderer fails to furnish requisite Security deposit within the specified period after the award of order/contract, wherever applicable. 
 
d) The Earnest Money will not be adjusted from the pending bills or balance payment, if any.
 
 
 
 
2.4. Security Deposit :- Subsequent  to  placement  of  work order/contract, the successful tenderer shall have to deposit a sum equal to 5% of the quoted value (for full period), as security  deposit in the form of Demand Draft, Banker Cheque/Pay Order in the name of ALIMCO, payable at Kanpur, as interest free Security Deposit for the performance of its obligation under the agreement within one month after award of contract. This will be retained till the expiry of the contract. The Security Deposit will be refunded to the Contractor after recovering losses/ dues/ penalties that created on account of failure of proper Security of property of the Corporation by way of theft (burglary etc.) left unpaid, if any, after expiry of 03 months after completion of contract. An agreement will have to be executed by the successful tenderer (on its own cost) with ALIMCO on a non-judicial stamp paper of          Rs. 100/- . Security deposit of 5% of the quoted value to be deposit by contractors within one month after award of contract. No interest will be payable on Security deposit. The earnest money already submitted with the tender will be adjusted towards the Security deposit.
2.5   The tenderers may, at their own discretion, send tenders by Registered/Speed post Acknowledgment Due, but postal and transit delay will not be condoned in reckoning the tenders for our consideration. Tenders should be addressed to Manager (Pers. & Admn.), ALIMCO, G.T. Road, Kanpur-209217 (U.P). Offers Received by Fax/Telegraph/Telex/E-Mail will not be considered at all.
 
2.6 The Tender must indicate the following particulars on the face of the envelope- 
 
(i) Name & address of the Tenderer
(ii) Tender No. AD/OT/       /AS for providing Manpower Supply, due for opening on.
 
3. OPENING OF TENDER
 
Due date of Opening (Technical Bid) will be on                  at 15:00 PM. 
 
3.1 All the quotations/offers must reach the Corporation by 14.00 hrs. on or before due date that is                     and the T-Bid will be opened on the same day at 15.00 hrs. in the presence of representatives of the tenderers, who may like to be present. Quotations/offers received late will not be considered. 
 
3.2 Only the ‘T-BID’ (Part I) of the tender will be opened on date of opening at 15.00 hrs. by the Tender Opening Committee in the presence of representatives of the tenderers who may like to be present and the procedure will be as follows:-
 
 
 
 
(i) After opening the main cover, the Tender Opening Committee  of ALIMCO shall open envelope containing only ‘T-BID’ part  of all the tenders.  Sealed envelope containing ‘P-BID’ of the Tenderers shall be put together in a large cover by the Tender Opening Committee and shall be resealed (in presence of tenderers, if  present during opening of the tender) which  shall be opened on a subsequent date which shall be communicated by ALIMCO. Price Bid of only those tenderers shall be opened, whose T-Bid is found/assessed to be acceptable, solely by the Corporation. 
 
(ii) Subsequent to opening of envelope containing T-Bid of all tenderers correspondence/discussion with regard to the conditions and other technical aspects by the Technical committee or by officers nominated by ALIMCO if needed, shall be held.
                                                                                                                                    
(iii) If any tenderer sends only one envelope i.e. only ‘T-BID’ his  tender shall not be considered and shall be treated as incomplete. Similarly if any Tenderer sends only one envelope i.e.  ‘P-BID’, it shall also be treated as invalid tender.
 
(iv) Tenderers will be required to furnish information regarding their agencies as per Annexure ’A’ (Technical Bid) & ‘B’ (Price Bid) and no column will be left blank by the tenderer. Tender having incomplete information in     T-Bid or P-Bid are liable to be rejected.
 
(v) Tenders with revised/modified rates/offer, after opening of the tenders, will summarily be rejected.
 
(vi) All the entries in the offer, shall be either typed or neatly hand written. Tender having overwriting, having fluid application/ cutting etc. without proper authentication, will be rejected.
 
4. Validity of Tender- 
 
4.1 The offer shall remain open for acceptance, for minimum period of 90 days from the date of opening of T-Bid of tender, irrespective of any validity period mentioned in offer or till such further period upto which the extension of validity is agreed to mutually. 
 
4.2 If notified within this period that the tender has been accepted the tenderer shall be bound by the terms of the offer along with the terms that have been agreed to mutually. 
 
 
 
 
5. DETAIL OF OFFER-
 
The tenderers should fill the finance quotes / Rates in Annexure-B.  The rates are to be quoted on per month basis in accordance with Minimum Wages Act 1948 as applicable to ALIMCO at Kanpur Nagar City along with the copy of Central Govt. notification on the subject and should be without any price escalation for a period of 24 months except increases in minimum wages by Govt. of India, if any, which may have to be duly supported by documents. 
 
6. DURATION OF CONTRACT
 
The Period of the contract is initially for two years, which may be extended upto one year on the same terms & conditions on successful completion of two years, depending upon satisfactory performance and with mutual agreement.
 
7. ELIGIBILITY CONDITIONS
 
7.1 The tenderer should possess a minimum of 03 years experience of running of manpower services in Govt./Semi Govt./PSU/Reputed Private Industries.
 
7.2 The tenderer’s average financial turn-over in manpower services during the last two financial years i.e., 2012-13 and 2013-14 duly audited by Chartered Accountant should not be less than Rs. 01 Crore (Rupees One Crore) per year.
 
7.3 The tenderer should have valid licence under Contract Labour and Abolition Act , ESI & EPF Registration No.,  Permanent Account No. (PAN) and Service Tax Number. Offers received without aforesaid Registration No. will not be considered. 
 
7.4 The Manpower Supply Agency shall have at least 100 Nos. of manpower under its control & supervision.
 
8. TERMS & CONDITIONS 
 
GENERAL 
 
An agreement will have to be executed by the successful tenderers with ALIMCO on a non-judicial stamp paper of Rs. 100/- after award of work contract.
 
(ii) All bidders are expected to read the tender document containing qualifying conditions and participate in the tender process before quoting/ responding to the bid. The Security Deposit will be refunded to the Tenderer after recovering losses/ dues/ penalties if any, after expiry of 03 months after completion of contract. It does not carry any interest. 
 
(ii) The Manpower Agency shall have a office in Kanpur. It should be a professionally managed organization. The office shall have effective communication facilities like Telephone, Fax, Mobile, E-mail, vehicles.
 
(iii) The personnel should be free from any contagious or infectious disease. He should not be suffering from any disease which may likely to be  aggravated by service or is likely to render him unfit for service or endanger the health of the other persons. 
 
(iv) The Manpower agency shall ensure that every Manpower personnel undergoes a  medical examination at the time of appointment and thereafter once in  every twelve months from his last such examination, so as to ensure his  continued physical fitness
 
(v) The agency shall engage the Manpower staff for Manpower duty for single shift of 8 hrs. a day only. No double duty shall be permissible. However in case of exigency/emergency the duty hours can be extended with the prior permission of Manager (P&A) of Corporation.  
 
(vi) The performance of the agency shall be reviewed/evaluated regularly by the Manager (Pers. & Admn.) or authorized officer of the Corporation.
 
9. PERSONNEL TO BE ENGAGED
 
The Manpower Agency needs to supply the personnel, who are capable to work as Driver, Fitter, Electrician, peon messenger, steno, Data Entry etc. The Corporation  may increase or decrease the number of Manpower Personnel required and mentioned below:-
 
a) Highly skilled personnel :   05 No.
b) Skilled personnel :   23 No.
c) Semi-skilled personnel : 138 No.
d) Unskilled Personnel : 106 No.

TOTAL : 272 Nos.
10. UNIFORM
 
The Manpower Agency shall direct its personnel to strictly remain in neat and clean formal dress, while present in Corporation premises. For Men personnel are required to come in formal Pant-Shirt and women personnel will be required to come in Salwar-Kurta or Saree. 
 
11. CHARACTER VERIFICATION AND ANTECEDENTS 
 
The Manpower Agency should get the character/antecedence of each Manpower personnel verified before he is engaged and personnel should be able to produce the verification report as and when required for any departmental enquiry concerning each Manpower personnel who may be engaged by Manpower Agency. 
 
12. PHOTO IDENTITY CARDS 
 
The Manpower personnel who may be engaged by Manpower Agency from time to time must carry the photo identity card, which shall have to be issued to him by the Manpower Agency for the said purpose. The identity card should be worn by each Manpower personnel. Present and permanent addresses of all Manpower personnel should also be made available to the Manager (P&A) ALIMCO, Kanpur. 
 
13. REMOVAL OF MANPOWER PERSONNELS/SUPERVISOR 
 
13.1 The Corporation reserves the right to ask and require the Manpower Agency to remove any personnel deployed by the Manpower Agency, without assigning any reason/notice.
 
13.2 The Manpower Agency shall remove/change/replace any Manpower personnel, if at any time found unsuitable or undesirable in the opinion of the Manager (P&A), and shall make immediate alternative arrangement to provide substitution for carrying out his obligations undertaken under this contract. 
 
14. LIABILITY/ LOSSES 
 
Loss or damage to any material/property either through theft or otherwise due to negligence of its Manpower personnel, shall be made good by Manpower  Agency at its own cost. The decision as to whether the loss or damage through the theft is attributable due to negligence of its Manpower Staff, shall solely rest with the Head of Administration of Corporation, who shall has the right to require Manpower Agency to pay the costs of such missing/damaged material/property and it shall make good without any demur or objection on receipt of a written demand from ALIMCO as and when circumstances arises.
 
15. ASSIGNMENT
 
The Manpower Agency shall not appoint any Sub-Manpower Agency to carry out any obligation under the contract.
 
 
16. COMPLIANCE OF LABOUR LAWS & REGULATIONS
 
16.1 The Manpower Agency will apply to the Registering Officer/Labour Commissioner (Central) for obtaining a labour license and will submit a copy of license to Corporation, within 30 days from the date of issue of the award of contract. 
 
16.2 The Manpower Agency shall observe and implement all the laws of the land and the rules framed there under such as Workmen’s Compensation Act Industrial Disputes Act, Minimum Wages Act Factories Act and Central Contract Labour (Regulation & Abolition) Act which includes maintenance of Attendance Register, maintenance of Payment Register etc and that ALIMCO Kanpur, shall in no event be liable or responsible for any default that will arise out of non observance of such laws/rules on his part and that he shall indemnify and keep indemnified ALIMCO Kanpur, against any damage and/or injury caused to the premises, or to the properties. 
 
16.3 The Manpower Agency shall be responsible and shall pay all compensation to its employees payable under the provisions of the workmen’s Compensation Act and amendments thereto. The Manpower Agency shall be responsible for all the injuries/accidents to personnel employed by it. The Manpower Agency shall be responsible for and pay the expenses for providing medical treatment to its employees who may suffer any bodily injury during the course of their service as a result of any accident or otherwise while in the premises. The Manpower Agency shall be responsible and shall pay all compensation to its employees payable under the provisions of the workmen’s compensation Act and amendments thereto.
 
16.4 The Manpower Agency shall abide by all laws of the land including, Labour Laws (ESI, PF, Income Tax, Service Tax or any other extra taxes levied by the Government) Companies Act, TAX Deduction liabilities, Welfare measures of its employees and all other obligations that enjoin in such cases and are not essentially enumerated and defined herein, though any such onus shall be the exclusive responsibility of the Manpower Agency, and it shall not involve, the Corporation in any way what-so-ever. All the beneficiary deductions and certified copy should be enclosed with the next bill, otherwise, the bills shall not be passed for payment. 
 
16.5 The tenderer would arrange for necessary insurance and payment of all taxes. In no case the Corporation would be held responsible for anything other than those specifically stipulated in the contract.
 
16.6 The personnel, engaged through Manpower supply agency, shall be the employees of Manpower Agency for the purpose of the Shops & Establishments Act, Minimum Wages Act, PF Act, ESI Act and all other Labour Laws, Rules and Regulations there under.  
 
17. Payment Terms
 
17.1 75% of payment will normally be released by Corporation on monthly basis on receipt of monthly bills together with certificate indicating compliance of Minimum Wages Act submitted by the successful tender for duly completed work duly verified by AD department regarding payment of minimum wages. Payment shall be made within 07 days from the date of receipt of bill.
 
17.2 As per Reverse Charge Mechanism, liability to deposit 75% of service Tax falls on the Corporation. Corporation shall deposit the same and shall be deposited to Tenderer account as payment made on behalf of the Tenderer. 
 
17.3 Balance amount after considering the para 17.1 and 17.2 above, shall be released on submission of certified copies of challans of payment of PF,ESI, service Tax alongwith list of employee indicating amount and From No.XII.
 
17.4 In case the Statutory liabilities are not matching to reimbursement amount, the deduction shall be made to the extent of short amount from their bill.
 
17.5 Corporation shall deduct the Income Tax amount from the bill of the Manpower Agency. 
 
17.6 The Manpower Agency shall in no case pay its employees less than the minimum mandatory rates of wages as applicable in the Govt. of India. The Manpower Agency has to deposit the wages of its employees in their respective bank account, a record of that should be kept in a register which may be examined by the Corporation at any time. The Service Agency shall ensure that payment to his employees is made through bank transfer.
 
17.7 Manpower Agency is required to produce copies of all challans / documents of having deposited the amount, every month along with monthly bills. ALIMCO, Kanpur, reserves the right to check the actual payment of the wages register maintained by Manpower Agency and also the connected documents in respect of the above. 
 
17.8 The Agency should be firm for the contract period and there shall be no variation/ escalation on any account except statutory liabilities like PF, ESI, Service Tax etc. 
 
17.9 The workers should not be paid less than minimum wages as prescribed by Chief Labour Commissioner (C), Ministry of Labour, Government of India. Any revision in the rates of Minimum wages for workers and service tax by Govt. of India during the currency or renewal of the Contract will be considered for payment by ALIMCO, Kanpur at actual, subject to production of documentary evidence by the Manpower Agency. 
 
 
17.10 The last payment of the Manpower Agency will be cleared only after ascertaining clearance of any liabilities pending with the Manpower Agency.
 
17.11 The Service Charges payable to the Contractor will not be revised and will remain fixed during the entire period of the Contract. In event of renewal or extension of the Contract the Service Charges for Contractor agreed at the time of award of Contract will remain unchanged. 
 
17.12 The Corporation reserves the right to increase or decrease the number of Manpower Personnel during the contract period and the contractor shall provide the revised number of Personnel at the rate approved for the Contract.
 
18. PENALTY 
 
The Corporation reserves the right to impose any penalty to the in the event of breach, violation contravention of any of the terms and conditions contained the agreement brought to the notice. Some of the instances in which penalty would be imposed are enumerated below, but these are not exhaustive but illustrative and penalty may be imposed on any violation/breach or contravention of any of the terms & conditions as well as assigned duties and responsibilities. 
 
(a) If the personnel found indulging in smoking/drinking alcohol while on duty. 
(b) If any personnel found performing the duty by submitting a fake name and address, qualification etc. 
 
19. If the Manpower Agency fails to provide the adequate no. of Manpower personnel and Corporation has to make its own arrangement for engagement of Manpower personnel than the  tenderer will be required to compensate the Corporation at the rate of Rs. 5,000/- per day or the cost of the alternative arrangements which the corporation may have to make or whichever is higher.
 
20. TERMINATION OF CONTRACT
 
The contract can be terminated by either party by giving three months notice in writing. In case the jobs performed are not found to be satisfactory, the Corporation can terminate the contract by giving notice of one month, to this effect and may invite the second lowest bidder of this tender. 
 
21. OTHER INSTRUCTIONS/ TERMS 
 
22.1 The Corporation reserves the right to suggest any changes in Manpower arrangements at any time. 
 
22.2 That no right shall vest in the Manpower Agency’s personnel to claim/ have employment or otherwise seek absorption in the Corporation nor the Manpower Agency’s personnel shall have any right whatsoever to claim the benefits and for emoluments that may be permissible or paid to the employees of the Corporation. The Manpower personnel will remain the employees of the Manpower Agency and this should be solely the responsibility of the Manpower Agency to make it clear to their workers before deputing on work at the Corporation.
 
22.3 The Manpower staff provided by the Manpower Agency shall be personnel of the Manpower Agency only and all disputes between the Manpower Agency and the Manpower staff shall be resolved by the Manpower Agency and shall have no bearing on ALIMCO Kanpur. The Manpower Agency should indemnify any claim, title indebt, cost, damage, compensation in respect of its employees deployed on ALIMCO Kanpur premises.
 
22.4 The Company/ Agency shall be responsible for the good conduct and behavior of its personnel. If any personnel of the Manpower Agency is found misbehaving with the Workmen, Officer, Guest of the Corporation, the Corporation reserves the right to terminate the services of such personnel on the recommendation of the Manager (P&A) or any other officer designated by the competent authority of Corporation. The Manpower Agency shall issue necessary instructions to its employees to act upon the instructions given by the officer In-charge and other designated officer of the Corporation. 
 
22.5 None of the personnel of the Manpower Agency shall enter into any kind of private work at different locations of the Corporation during working hours or otherwise, failing which penalty as deemed fit by the management shall be imposed
 
22.6 The Corporation premise is a ‘NO SMOKING ZONE’. No personnel of the Manpower Agency should be found Smoking, eating pan, gutka or intoxicants/drugs, etc. 
 
22.7 This tender form and terms and conditions specified in the bid document and accepted bid, will also form the part of the agreement.
 
22.8 The tenderers will abide by the decision of the Corporation regarding award/rejection of the contract and the tenderer will not raise any dispute in this regard before any Court of Law/Authority.
 
23. RIGHT OF ACCEPTANCE
 
The Corporation reserves the right to reject any or all the tenders without assigning any reason thereof. The Corporation also reserves the right for negotiations for the rates and terms & conditions with the tenderer out of the technically acceptable offers.
 
24. ARBITRATION
 
In case of any dispute, efforts shall be made to resolve it by mutual discussions failing which the matter will be referred to the Chairman and Managing Director of Corporation or his nominee for Arbitration, and decision of Chairman and Managing Director or his nominee shall be final and binding on both the parties. The provisions of Indian Arbitration & Conciliation Act 1996 as amended form time to time shall apply to such arbitration proceedings. Arbitrations proceedings shall be held at Kanpur Nagar only and the Kanpur Nagar courts will have the jurisdiction in the matter.
